Payme Launches Reorganization, Establishes TBC Tech

Tashkent, Uzbekistan (UzDaily.com) — The reorganization will be carried out through a spin-off in accordance with the legislation of Uzbekistan.

Under the plan, Payme’s chief executive has been tasked with completing all necessary legal and organizational procedures, including preparing the charter of a new legal entity, TBC Tech, as well as developing the structure of its management bodies and related documentation.

The press service of TBC Uzbekistan told UzDaily that the reorganization was initiated by TBC Digital, the parent company of the TBC Uzbekistan ecosystem.

The process предусматривает создание нового юридического лица — ООО TBC Tech, которое примет на себя часть технологических активов и команды Payme. According to the company, the move is part of a strategic development plan aimed at improving efficiency and scalability across the ecosystem.

TBC Uzbekistan said the current stage of the reorganization focuses on centralizing IT functions within the ecosystem.

The company also noted that, as part of this strategy, TBC Operations was established in autumn 2025 to consolidate the ecosystem’s operational functions.

“The spin-off of TBC Tech will allow us to focus on developing technological infrastructure, accelerate the rollout of new services and improve the quality of digital financial services,” TBC Uzbekistan said.

The company stressed that the reorganization is purely organizational and will not affect Payme’s ongoing operations. All services will continue to function as usual, and obligations to clients and partners will remain unchanged.

The Georgian financial group TBC Bank Group completed the full acquisition of Payme in 2023, becoming its sole owner. The group initially acquired a 51% stake in April 2019 and later purchased the remaining 49% in May 2023, increasing its ownership to 100%.
