Tashkent, Uzbekistan (UzDaily.com) -- United Investment Healthcare Group (USA) can receive state stake in the charter capital of Dori-Darmon in trust management.

The draft resolution of the President of Uzbekistan “On additional measures to improve the management effectiveness of the Joint-Stock Company Dori-Darmon” was published on the portal for discussion of draft normative and legal documents.

According to the document, United Investment Healthcare Group will receive in trust management a state stake (71%) in the charter capital of Dori-Darmon.

The American company registered its representative office in Uzbekistan. The draft resolution says that the shares will be transferred to an American company for trust management for 5 years.

If the parameters of the approved business plan are reached, the agreement will be extended for another five years.

The document noted that if the trust manager invests investments in the form of cash, equipment, software products for the implementation of the approved business plan, these investments are subject to reimbursement from Dori-Darmon.

Payment for the services of the trustee is established in the form of a monthly fee from the monthly revenue and bonus.

The amount of the bonus is calculated from the amount of Dori-Darmon’s net profit, depending on the performance of the business plan parameters, as well as on the net profit received by the joint-stock company in excess of the size set by the business plan at the expense of a part of dividends accrued on the state share in the authorized capital of Dori -Darmon for the fiscal year.

It is expected that the agreement on trust management of the state stake in the authorized capital of Dori-Darmon will be concluded by September 1, 2018.

According to the document, the representative office of United Investment Healthcare Group will receive a license of the trust manager of investment assets.

Dori-Darmon will purchase goods (works and services), including medicines, on an exceptional basis, without conducting procurement procedures under direct contracts, the draft resolution said.

At the same time, public medical organizations will be allowed to purchase medicines from Dori-Darmon, on an exceptional basis, without conducting procurement procedures under direct contracts.

Dori-Darmon has more than 2,200 social pharmacies, which provide the population of Uzbekistan with socially significant medicines and medical products. The company is the only supplier of narcotic drugs and psychotropic substances for state medical organizations of Uzbekistan.
